Welcome to Blodaque (“Platform”, “we”, “our”). Blodaque provides a SaaS solution that enables users to create and manage online stores, primarily focused on selling digital products. By accessing or using our Platform, you agree to these Terms and Conditions, which form a legally binding contract between you and Blodaque. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY STOP USING OUR PLATFORM.

1. ACCEPTANCE OF TERMS

By accessing, registering for, or using any services provided by Blodaque, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. These Terms apply to all users of the Platform, including sellers, buyers, and any visitors who access the services.

2. DEFINITIONS

“User”: Any individual or entity that accesses the Platform, including sellers and buyers.

“Seller”: A User who utilizes the Platform to create a store and offer products or services for sale.

“Buyer”: A User who purchases products or services through a store hosted on the Platform.

“Digital Product”: Any non-physical product sold via the Platform, including e-books, software, videos, music, and other downloadable content.

3. DESCRIPTION OF SERVICES

Blodaque provides a comprehensive, cloud-based e-commerce solution designed for the sale of digital products. The services include, but are not limited to:

Store Creation: Users can create personalized online stores to display and sell digital products.

Product Management: Sellers can upload, categorize, and manage their digital products through an intuitive interface.

Payment Processing: Blodaque integrates with third-party payment processors like PayPal to facilitate secure transactions between Buyers and Sellers.

Analytics and Reports: Sellers have access to reports on sales performance, traffic, and other key metrics.

Support: Access to customer support channels for assistance with technical issues or questions related to account management.

4. ACCOUNT REGISTRATION

4.1. Creating an Account: To access the services provided by Blodaque, you must create an account by providing accurate, complete, and current information. By registering, you represent that all information provided is truthful and up-to-date. Failure to maintain the accuracy of this information may result in the suspension or termination of your account.

4.2. Security You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Blodaque will not be liable for any loss or damage arising from unauthorized access to your account. If you suspect any unauthorized use of your account, YOU MUST NOTIFY BLODAQUE IMMEDIATELY.

4.3. Account Termination: Blodaque reserves the right to suspend or terminate any account at its discretion, without prior notice, for reasons such as violations of these Terms, fraudulent activity, or any misuse of the Platform.

5. ELIGIBILITY

By using Blodaque, you represent that:

You are at least 18 years old or the legal age in your jurisdiction to form a binding contract.

You have the full right, power, and authority to enter into and comply with these Terms.

If you are registering on behalf of an entity, you have the authority to bind that entity to these Terms.

Minors are not allowed to use the Platform without parental or guardian consent.

6. USE OF PLATFORM

6.1. Seller Obligations: Sellers agree to comply with all applicable laws and regulations when selling products on the Platform. Sellers are solely responsible for ensuring that the content, pricing, and information they provide about their products are accurate and do not infringe on the rights of third parties.

6.2. Content Ownership: You retain ownership of any content you upload to your store, but by doing so, you grant Blodaque a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of providing our services.

7. SUBSCRIPTION PLANS AND PAYMENTS

7.1. Subscription Fees: Blodaque offers various subscription plans with different levels of service. By subscribing to a plan, you agree to pay all fees associated with that plan. All subscription fees are billed in advance and are non-refundable unless explicitly stated otherwise.

7.2. Automatic Renewals: Subscription plans will renew automatically at the end of the billing cycle unless canceled by the Seller. You may cancel your subscription at any time, and the cancellation will take effect at the end of the current billing cycle.

7.3. Payment Processing: Payments made through Blodaque are processed by third-party services such as PayPal. Blodaque is not responsible for any delays, failures, or disputes arising from the use of these third-party payment processors.

7.4. Seller’s Responsibility for Taxes: The Seller is solely responsible for determining and paying any taxes applicable to their sales. Blodaque does not offer tax advice and will not be liable for the Seller’s failure to comply with tax obligations.

8. REFUNDS AND CANCELLATIONS

8.1. Refund Policy: Due to the nature of digital products, all sales made through the Platform are final. Refunds will only be issued in specific cases, such as duplicate transactions, or as required by law.

8.2. Seller Cancellations: Sellers can cancel their subscription at any time through their account settings. Cancellations will be effective at the end of the current billing period, and no refunds will be provided for unused time.

8.3. Termination of Services by Blodaque: Payments made through Blodaque are processed by third-party services such as PayPal. Blodaque is not responsible for any delays, failures, or disputes arising from the use of these third-party payment processors.

9. INTELLECTUAL PROPERTY

9.1. Blodaque Ownership: All rights, titles, and interests in and to the Platform, including but not limited to software, design, content, and trademarks, are and will remain the exclusive property of Blodaque.

9.2. User Content: While you retain ownership of any content uploaded to your store, you hereby grant Blodaque a limited license to use, reproduce, modify, and display that content solely for the purpose of providing the services.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLODAQUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITIES.

11. CHANGES TO TERMS

Blodaque may update these Terms at any time to reflect changes in our services or legal requirements. When we do, we will post the updated terms on our Platform and notify users by email if significant changes occur. YOUR CONTINUED USE OF THE PLATFORM AFTER SUCH CHANGES CONSTITUTES YOUR ACCEPTANCE OF THE NEW TERMS.
